These terms should be read alongside any proposal, quotation, service agreement, or statement of work agreed upon between GoodTechies and the client.

GoodTechies reserves the right to update, improve, or discontinue any publicly advertised service, subject to its existing contractual obligations.

3. Quotations and Project Agreements

Before work begins, GoodTechies may provide a quotation, proposal, or project brief outlining the services to be delivered.

Unless otherwise stated in writing:

  • Quotations are based on the information and requirements provided by the client.
  • Any material change to the project scope may require a revised quotation.
  • Project timelines are estimates and may depend on the timely provision of content, access credentials, feedback, approvals, and other materials by the client.
  • Work will commence once the agreed starting conditions, including any required deposit or advance payment, have been satisfied.
  • Any specific terms agreed in a signed contract or written project agreement will take precedence over these general terms where the two conflict.

GoodTechies will make reasonable efforts to meet agreed deadlines but cannot guarantee completion by a particular date where delays arise from circumstances outside our reasonable control.

4. Client Responsibilities

Clients are responsible for providing the information, materials, access, and approvals reasonably required to complete the agreed services.

This may include:

  • Website hosting, domain, content management system, and relevant third-party account access.
  • Accurate business information, website copy, images, branding assets, and other content.
  • Timely feedback, decisions, and approvals.
  • Appropriate licences and permissions for any materials supplied to GoodTechies.
  • Payment of invoices and third-party costs as agreed.

Clients must ensure that the materials and instructions they provide do not infringe the intellectual property, privacy, or other legal rights of third parties.

GoodTechies is not responsible for delays or additional costs caused by incomplete information, late approvals, inaccessible systems, or other client-related issues. Where necessary, project timelines and costs may be adjusted accordingly.

5. Fees and Payment Terms

All service fees will be communicated through the relevant quotation, proposal, invoice, or written agreement.

Unless otherwise agreed in writing:

  • Website development projects may require an advance payment before work begins.
  • Remaining project payments will be due according to the agreed payment schedule.
  • Recurring services, including SEO, paid advertising management, and website maintenance, will be billed according to the agreed billing cycle.
  • Invoices must be paid by the stated due date.
  • Any additional work outside the agreed scope may be charged separately following agreement on the additional requirements and applicable fees.

Clients are responsible for third-party expenses unless expressly included in the agreed service fee. These may include domain registration, web hosting, premium themes and plugins, software subscriptions, advertising spend, payment processing fees, stock assets, and external platform charges.

If an invoice remains unpaid, GoodTechies may, where permitted by law and subject to applicable contractual obligations, suspend work or services after providing reasonable notice. Any resulting delays will be reflected in the project schedule.

All fees are quoted and invoiced in US Dollars (USD) unless otherwise stated in writing.

6. Revisions and Additional Work

The number of revisions included in a project will be specified in the applicable proposal or agreement.

Revisions are intended to refine the agreed deliverables within the original project scope. They do not automatically include new functionality, additional pages, substantial redesigns, or changes to previously approved requirements.

Requests that exceed the agreed revision allowance or scope may require additional fees and an updated delivery timeline.

GoodTechies will communicate material changes in cost or scope before proceeding with additional chargeable work.

7. Refunds and Disputes

Refunds for our services are governed by our Refund Policy, available at https://goodtechies.com/refund-policy/, which forms part of these Terms & Conditions. If you have a concern about a charge, please contact us at hello@goodtechies.com before opening a dispute with your card issuer or bank, so we can try to resolve it quickly.

8. Website Development and Delivery

GoodTechies aims to develop websites that meet the agreed project requirements and are functional across supported devices and browsers.

The final deliverables, features, integrations, and handover arrangements will be determined by the applicable project agreement.

Unless specifically included in the agreed scope, website development services do not automatically include:

  • Domain registration or renewal.
  • Web hosting or server administration.
  • Premium software, theme, or plugin licences.
  • Ongoing website maintenance or technical support.
  • Ongoing SEO or paid advertising management.
  • Extensive content writing, photography, or other creative production.
  • Third-party subscription fees.

Clients are responsible for reviewing and approving the completed website before launch or final handover.

Once the agreed deliverables have been completed and approved, any subsequent modifications, new requirements, or additional development may be chargeable separately.

9. WordPress, WooCommerce and Third-Party Services

GoodTechies may use WordPress, WooCommerce, themes, plugins, APIs, hosting providers, payment gateways, analytics platforms, and other third-party tools to deliver its services.

The operation and availability of these tools may depend on third-party providers and their respective terms, policies, updates, and technical requirements.

GoodTechies does not control third-party services and cannot guarantee their uninterrupted availability, compatibility, continued functionality, or future pricing.

Unless expressly agreed otherwise, clients are responsible for maintaining the licences and subscriptions required for their websites and integrations.

GoodTechies will make reasonable efforts to resolve issues arising within the agreed scope of our work. However, additional work may be required where issues result from third-party updates, hosting limitations, external service changes, or modifications made by the client or another service provider.

10. Search Engine Optimisation

GoodTechies provides SEO services intended to improve a website's technical health, search visibility, content relevance, and organic search performance.

SEO work may include technical audits, on-page optimisation, keyword research, content recommendations, performance analysis, and other agreed activities.

Search engine results depend on numerous factors outside our control, including search engine algorithms, competitor activity, industry conditions, website history, content quality, and external links.

Any forecasts, projections, or performance estimates are indicative only and should not be interpreted as guaranteed outcomes.

Clients remain responsible for the accuracy and legality of their business information and any content they approve for publication.

GoodTechies may provide advertising management and optimization services through third-party platforms, including Google Ads, Meta Ads, and other applicable advertising networks.

Unless otherwise specified in writing:

  • Advertising management fees are separate from advertising spend.
  • Clients are responsible for funding their advertising accounts and paying platform charges.
  • Campaign budgets and objectives will be agreed upon before implementation.
  • Advertising results may vary according to competition, audience behaviour, platform policies, budget, creative assets, and market conditions.

GoodTechies does not guarantee specific impressions, clicks, leads, conversions, cost per acquisition, or return on advertising spend.

Advertising platforms may reject advertisements, restrict accounts, change their policies, or suspend campaigns. GoodTechies will make reasonable efforts to assist with issues within the agreed scope but cannot guarantee a particular platform decision or account outcome.

Clients are responsible for ensuring that their products, services, claims, landing pages, and supplied advertising materials comply with applicable laws and platform policies.

12. Conversion Rate Optimisation

CRO services may include website analysis, user experience recommendations, landing page improvements, analytics reviews, and testing of website elements.

The purpose of these services is to identify and implement improvements that may help a website achieve its agreed conversion objectives.

Actual results depend on factors including traffic quality, market demand, pricing, user behaviour, technical performance, and the implementation of recommendations.

GoodTechies does not guarantee a specific conversion rate, increase in revenue, or improvement in business performance.

Where testing is included, findings will depend on the available data, test duration, sample size, and other relevant conditions.

13. Website Maintenance and Technical Support

Website maintenance services will be provided according to the selected plan or written agreement.

Depending on the agreed package, maintenance may include software updates, backups, security checks, performance monitoring, troubleshooting, and minor website changes.

Unless expressly included in the service agreement, maintenance does not include major redesigns, new website features, extensive development, content production, or recovery work arising from unrelated third-party changes.

GoodTechies will take reasonable steps to protect website functionality and data when performing maintenance. However, no website can be guaranteed to remain completely secure or free from errors, downtime, compatibility issues, or unauthorised access.

Clients should maintain appropriate backups and ensure that they retain access to their website, hosting, domain, and other essential accounts.

If a maintenance subscription ends, ongoing maintenance and support obligations will cease in accordance with the applicable agreement.

14. Intellectual Property Rights

Unless otherwise agreed in writing, each party retains ownership of the intellectual property it owned before the commencement of the project.

Upon full payment of all amounts due, ownership of the final deliverables specifically created for the client will transfer to the client to the extent agreed in the applicable proposal or contract and permitted by law.

GoodTechies retains ownership of its pre-existing tools, frameworks, methods, reusable code, processes, know-how, and other materials developed independently of the client project.

Third-party software, themes, plugins, fonts, stock images, and other licensed materials remain subject to their respective licence terms. Ownership of a website deliverable does not automatically transfer ownership of these third-party materials.

Clients grant GoodTechies permission to use the materials supplied by them to the extent reasonably necessary to perform the agreed services.

Neither party may use the other party's confidential or proprietary materials beyond the rights granted under the applicable agreement.

15. Confidentiality and Data Protection

GoodTechies will take reasonable measures to protect confidential business information received from clients in connection with the provision of services.

Clients are also expected to protect confidential information, access credentials, and proprietary materials belonging to GoodTechies.

Where personal data is processed in connection with our services, each party is responsible for complying with the data protection obligations applicable to its role and activities.

GoodTechies will handle personal information in accordance with its Privacy Policy and applicable law.

Clients should avoid sending unnecessary sensitive personal information through unsecured communication channels.

16. Website Use and Prohibited Activities

You may use the GoodTechies website only for lawful purposes.

You agree not to:

  • Use the website in a way that violates applicable laws or regulations.
  • Attempt to gain unauthorised access to our systems, accounts, or infrastructure.
  • Introduce malicious code, viruses, or other harmful technology.
  • Interfere with the security, availability, or proper functioning of the website.
  • Copy, reproduce, distribute, or commercially exploit website content without appropriate permission.
  • Submit false, misleading, fraudulent, or unlawful information through our website.

GoodTechies reserves the right to restrict access to the website where reasonably necessary to protect its security, operations, users, or legal interests.

The content published on the GoodTechies website is provided for general informational purposes.

Although we make reasonable efforts to maintain accurate and up-to-date information, we do not warrant that all website content will always be complete, accurate, or current.

Our website may contain links to external websites, tools, or services operated by third parties. These links are provided for convenience and do not necessarily represent an endorsement of those websites or their content.

GoodTechies is not responsible for the availability, accuracy, security, or privacy practices of external websites. Your use of third-party services is subject to their own terms and policies.

18. Limitation of Liability

To the fullest extent permitted by applicable law, GoodTechies will not be liable for indirect, incidental, special, consequential, or punitive losses arising from the use of our website or services.

This may include loss of profits, revenue, anticipated savings, business opportunities, data, search rankings, advertising performance, or business interruption, where such exclusion is permitted by law.

GoodTechies is not responsible for losses arising from circumstances outside its reasonable control, including third-party platform outages, hosting failures, cyberattacks, search engine algorithm changes, or unauthorised modifications made by others.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

Any additional limitation of liability applicable to a particular project must be set out in the relevant agreement and interpreted in accordance with applicable law.

19. Indemnification

To the extent permitted by applicable law, clients agree to be responsible for claims, losses, or reasonable costs arising from their unlawful use of our services, infringement of third-party rights through materials they supply, or breach of these terms.

This provision does not apply to the extent that a claim results from GoodTechies' own breach of contract, unlawful conduct, or other liability that cannot legally be excluded.

20. Suspension and Termination

Either party may terminate a service engagement in accordance with the termination provisions of the applicable proposal or service agreement.

Where no specific termination provisions have been agreed, either party may request termination by providing written notice and allowing reasonable time to address outstanding obligations.

Upon termination:

  • The client remains responsible for payment for work completed and approved expenses incurred up to the effective termination date.
  • Any prepaid fees, refunds, or outstanding balances will be handled in accordance with our Refund Policy, the applicable agreement, and applicable law.
  • Work not yet completed will be handled according to the agreed payment and termination arrangements.
  • Access to ongoing services, subscriptions, and maintenance may end in accordance with the applicable terms.

GoodTechies may suspend services where reasonably necessary due to non-payment, unlawful activity, security risks, or a material breach of the applicable agreement, subject to any required notice and applicable law.

21. Force Majeure

Neither party will be responsible for a delay or failure to perform its obligations to the extent caused by events beyond its reasonable control.

Such events may include natural disasters, war, civil unrest, widespread internet or infrastructure failures, government actions, epidemics, or significant third-party service disruptions.

The affected party will make reasonable efforts to minimise the impact and resume performance when reasonably possible.

Payment obligations for services already provided are not excused merely because a force majeure event occurs.

22. Changes to These Terms

GoodTechies may update these Terms & Conditions from time to time to reflect changes in our services, business practices, legal requirements, or operational needs.

The revised version will be published on this page with an updated revision date.

Changes will apply from the stated effective date, subject to applicable law and any existing contractual obligations. Material changes to an existing client engagement will be handled in accordance with the applicable agreement and law.

We encourage visitors and clients to review this page periodically.

23. Governing Law and Dispute Resolution

These Terms & Conditions are governed by the laws of the State of Missouri, United States, without regard to its conflict-of-law rules, subject to any mandatory legal requirements that apply to you.

If a dispute arises, both parties should first attempt to resolve it through good-faith discussions.

If the dispute cannot be resolved informally, either party may pursue the remedies available under applicable law in a competent court or other appropriate forum.

Nothing in this section limits any mandatory rights or protections available to a consumer under applicable law.

24. Severability

If any provision of these Terms & Conditions is found to be invalid, unlawful, or unenforceable, that provision will be limited or removed to the minimum extent necessary.

The remaining provisions will continue to apply to the extent permitted by law.

25. Entire Agreement

These Terms & Conditions, together with any applicable proposal, quotation, statement of work, service agreement, and incorporated policies, constitute the agreement governing the relevant use of our website or engagement of our services.

If a specific written agreement conflicts with these general terms, the specific agreement will take precedence to the extent of the conflict.
